We’re looking for an Associate General Counsel, Corporate to spearhead Webflow's corporate legal function, with an emphasis on corporate governance, public company readiness, and strategic transactions. You’ll play a critical role supporting Webflow’s continued high-rate growth and maturation, balancing legal compliance with a calibrated business mindset.

Compensation
The cash compensation for this role is tailored to align with the cost of labor in different geographic markets. The specific base pay within the range will be determined by the candidate’s geographic location, job-related experience, knowledge, qualifications, and skills.
United States Base Pay Ranges:
- Zone A: $240,000 - $300,000
- Zone B: $225,000 - $282,000
- Zone C: $211,000 - $264,000
This role is eligible to participate in Webflow's company-wide bonus program. Target amounts are a percentage of base salary and vary by career level. Please visit the Careers page for more information on geographic pay zones.
Responsibilities
- Board Administration: Manage preparation for board and committee meetings, prepare materials, maintain corporate records and minutes, advise on governance practices.
- Entity Management: Oversee corporate structure, subsidiary governance, and ensure compliance with regulatory requirements across all jurisdictions.
- M&A Support: Lead legal due diligence, negotiate transaction documents, and manage post-acquisition integration from a legal perspective.
- Corporate Transactions: Negotiate and draft complex commercial agreements, financing documents, and other strategic transactions.
- Public Company Readiness: Drive Webflow’s public company readiness, including due diligence coordination and working with external counsel.
- Employment and Litigation: Lead our internal employment function, as well as our litigation efforts as they may arise.
- Securities and SOX Compliance: Develop and implement securities law compliance program and insider trader policies. Develop and implement SOX compliance framework, including internal controls, disclosure procedures, and certification processes.
- Leadership: Build and lead Webflow’s corporate legal team, manage outside counsel relationships, and optimize and create scalable corporate legal processes and operations.
About you
Requirements
- JD degree with at least one active bar membership.
- 10+ years of relevant experience, with experience at a nationally-recognized law firm (required), and ideally a mixture of late-stage private and public company experience.
- Experience with securities laws, corporate governance, M&A transactions, SEC reporting requirements, and SOX requirements.
- Experience with driving public company readiness, or managing public company compliance.
